1. Binding Agreement

These Terms and Conditions (“Agreement”) constitute a legally binding agreement between you (“Customer,” “User,” “you”) and La Bodega Online LLC (“Company,” “we,” “our,” “us”) governing your access to and use of www.shoplabodegaonline.com (the “Site”) and all purchases made through it.

By accessing the Site or placing an order, you agree to be bound by this Agreement.

If you do not agree, you must discontinue use immediately.

2. Eligibility & Legal Capacity

You represent and warrant that:

  • You possess legal authority to enter binding contracts

We reserve the right to refuse service at our sole discretion.

3. Product Information & Pricing Accuracy

We strive for accuracy but do not warrant that:

  • Product descriptions are error-free

  • Pricing is accurate at all times

  • Inventory is always current

We reserve the right to:

  • Correct pricing errors

  • Cancel orders due to inaccuracies

  • Modify product availability without notice

If an order is canceled after payment, a refund will be issued to the original payment method.

4. Order Acceptance & Fraud Prevention

All orders are subject to review and fraud screening.

We may:

  • Cancel or refuse suspicious transactions

  • Require additional identity verification

  • Limit quantities

  • Block high-risk transactions

Failure to pass fraud verification may result in order cancellation without notice.

5. Shipping, Fulfillment & Risk Transfer

A. Shipping Estimates

Shipping times are estimates and not guaranteed.

B. Risk of Loss

Risk transfers to the Customer upon confirmed delivery by the carrier.

We are not responsible for:

  • Carrier delays

  • Customs delays

  • Lost/stolen packages after confirmed delivery

  • Incorrect addresses entered by Customer

  • Unclaimed or refused shipments

Unclaimed packages may not qualify for refund and may be subject to restocking and return shipping fees.

6. Returns, Chargebacks & Payment Disputes

All returns are governed by our separate Return & Refund Policy.

A. Chargeback Protection

Initiating a chargeback without first contacting us to resolve the issue constitutes a breach of this Agreement.

We reserve the right to:

  • Submit delivery confirmation and fraud verification evidence

  • Dispute illegitimate chargebacks

  • Block future purchases

  • Pursue recovery of fees, administrative costs, and collection expenses

Fraudulent chargebacks may be reported to payment processors and authorities.

7. Promotional Abuse & Discount Misuse

We reserve the right to:

  • Cancel orders using unauthorized coupon stacking

  • Limit promotional redemptions

  • Revoke discounts obtained through technical manipulation

  • Cancel orders that exploit pricing errors

Promotional abuse may result in account restriction.

8. Intellectual Property Protection

All Site content including:

  • Logos

  • Brand name “La Bodega Online”

  • Product designs

  • Graphics

  • Text

  • Layout

  • Digital assets

is the exclusive property of La Bodega Online LLC and protected by U.S. and international intellectual property laws.

Unauthorized reproduction, resale of proprietary designs, or brand misuse will result in legal enforcement.

9. User Generated Content (UGC)

By submitting reviews, photos, comments, or content to us, you grant La Bodega Online LLC a worldwide, perpetual, royalty-free, transferable license to:

  • Use

  • Reproduce

  • Publish

  • Distribute

  • Display

  • Modify

such content for marketing and commercial purposes.

You represent that you own or have rights to any content submitted.

10. Dropshipping & Supply Chain Disclaimer

Certain products may be fulfilled through third-party suppliers or fulfillment partners.

We are not liable for:

  • Manufacturer production delays

  • International customs processing

  • Supplier shortages

  • Global logistics disruptions

Force majeure events include supply chain interruptions.

11. Disclaimer of Warranties

The Site and all products are provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, we disclaim all warranties including:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

We do not guarantee uninterrupted access or error-free operation.

12. Limitation of Liability

To the maximum extent permitted by law:

La Bodega Online LLC shall not be liable for:

  • Indirect damages

  • Consequential damages

  • Lost profits

  • Loss of data

  • Business interruption

  • Emotional distress

  • Punitive damages

Our total liability shall not exceed the amount paid by the Customer for the product in dispute.

13. Indemnification

You agree to indemnify, defend, and hold harmless La Bodega Online LLC from any claims, damages, losses, liabilities, and expenses arising from:

  • Your breach of this Agreement

  • Misuse of the Site

  • Violation of third-party rights

14. Binding Arbitration Agreement

Any dispute arising from or relating to this Agreement shall be resolved exclusively through binding arbitration administered in the United States.

You agree:

  • To waive the right to trial by jury

  • To waive participation in class actions

  • That arbitration shall be conducted individually

Judgment on arbitration awards may be entered in any court of competent jurisdiction.

15. Class Action Waiver

You agree that any claims shall be brought solely in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.

16. Force Majeure

We are not liable for failure or delay resulting from events beyond reasonable control, including:

  • Natural disasters

  • Government action

  • War

  • Pandemic

  • Supply chain disruption

  • Carrier failure

17. Governing Law

This Agreement shall be governed by the laws of the United States and the State in which La Bodega Online LLC is registered.

Venue for permitted court actions shall lie exclusively in that state.

18. Severability

If any provision is deemed unenforceable, remaining provisions remain valid and enforceable.

19. Entire Agreement

These Terms constitute the entire agreement between you and La Bodega Online LLC regarding Site use and purchases.
